Terms of Service

These Terms of Service (these "Terms") set out the conditions for using the Shopify app "MYDO - AI Customer Service Assistant" (the "Service") provided by Hiroki Yanase (sole proprietor; the "Operator"). By installing the Service, the user (the operator of a Shopify store; the "Merchant") is deemed to have agreed to these Terms.

Article 1 (The Service)

1. The Service connects the Merchant's LINE Official Accounts (two accounts: one customer-facing, one for owner notifications) with the Merchant's Shopify store, generates AI reply drafts for customer inquiries, and sends them after the Merchant's approval.
2. Every newly AI-generated reply draft is sent to a customer only after the Merchant's prior approval (via LINE or the web admin). Instant responses using canned answers the Merchant has previously approved and registered (automatic replies) are an exception.
3. The Operator may change, add to, or discontinue the Service with prior notice.

Article 2 (Eligibility and Accounts)

1. The Service is available to businesses that hold a valid Shopify store and are not in breach of Shopify's terms of service.
2. The Merchant shall, at its own responsibility, prepare two LINE Official Accounts and complete the setup in the LINE Developers console (obtaining channel access tokens, channel secrets, etc.).
3. Credentials and store information the Merchant enters into the Service must be accurate.

Article 3 (Fees and Billing)

1. The Service offers a free plan and several paid plans. Fees are charged through the Shopify Billing API. Pricing for a monthly paid plan consists of a fixed monthly fee plus usage-based charges (a per-customer rate) that apply when the number of customers who received AI-generated replies within the billing cycle exceeds the included allowance. If the Merchant chooses an annual plan, a discount applies to the fixed portion; annual plans carry no usage-based charges, and exceeding the included allowance is handled as set out in paragraphs 2 and 3. On a plan with an unlimited customer allowance, no usage-based charges apply and only the fixed fee is billed. The specific fees and included allowances for each plan are those displayed on the app's "Store Settings" screen (titled "プラン・連携" in Japanese).
2. Exceeding the included allowance is handled as follows. On the free plan, generation of new AI reply drafts stops automatically once the included allowance for the billing cycle is reached. On a paid plan with usage-based charges (monthly billing), the Merchant may set a spending cap on AI generation costs; when the cap is reached, generation of new AI reply drafts stops automatically and the Merchant is notified. On a paid plan without usage-based charges (annual billing), generation of new AI reply drafts stops automatically once the included allowance — plus any extra allowance under paragraph 3 — is used up, and the Merchant is notified. Stopped AI generation resumes automatically, within the included allowance, when the next billing cycle begins. In every case, automatic replies using already-approved canned answers remain available.
3. The Operator may offer Merchants on a paid plan that has a finite included allowance and no usage-based charges the option to purchase additional customer allowance ("extra customer packs") as a one-time (non-recurring) charge. Extra customer packs are charged through the Shopify Billing API; the specific per-customer rate and purchasable quantities are those displayed in the app at the time of purchase. One unit of purchased allowance is consumed per customer served beyond the included allowance, and unused units carry over to subsequent billing cycles. No refunds are given for units already consumed.
4. Feature requests from Merchants on a plan with an unlimited customer allowance (Enterprise) are considered ahead of requests from other plans ("priority handling"). This concerns the order in which requests are considered only; it is not a guarantee that any particular request will be implemented, nor of any implementation or response deadline.
5. A free trial period may be offered for new installations. Details follow what is displayed in the app.
6. The Operator may change the pricing plans on reasonable grounds. Changes applying to existing Merchants will be announced in advance in the app or by notice.

Article 4 (Merchant Responsibilities and Prohibited Conduct)

1. The Merchant bears final responsibility for reviewing AI-generated reply drafts and deciding whether to approve and send them. The Operator makes no warranty as to the accuracy of AI suggestions.
2. The Merchant is responsible for ensuring that content sent through the Service complies with applicable laws (e.g. consumer-protection, advertising, and pharmaceutical regulations) and with the respective terms of service of LINE and Shopify.
3. The Merchant shall not:
- reverse engineer, decompile, or copy the Service;
- use the Service to send unlawful content or content contrary to public order and morals;
- place excessive load on the systems of the Service or of third parties (Shopify, LINE, OpenAI, etc.);
- improperly obtain or use account information of other Merchants or third parties;
- engage in any other conduct the Operator reasonably determines to interfere with the proper operation of the Service.

Article 5 (Data Handling)

The handling of Merchants' and End Users' personal information is governed by the separate Privacy Policy.

Article 6 (Intellectual Property)

1. Intellectual property rights in the software, designs, and other elements of the Service belong to the Operator or its rightful licensors.
2. Rights in shop-specific knowledge the Merchant registers with the Service (product documents, FAQs, etc.) belong to the Merchant.

Article 7 (Suspension and Interruption)

The Operator may suspend or interrupt all or part of the Service without prior notice to Merchants in any of the following cases, while endeavoring to give advance notice where possible:

1. system maintenance or inspection;
2. force majeure such as earthquake, fire, power outage, or other natural disasters making provision of the Service difficult;
3. interruption, change, or termination of external services the Service depends on (LINE, Shopify, OpenAI, etc.);
4. any other case in which the Operator determines suspension or interruption to be necessary.

Article 8 (Disclaimer of Warranties; Limitation of Liability)

1. The Service is provided "as is." The Operator makes no warranty that the Service will fit any particular purpose, operate without interruption, or that AI-generated content will be free of errors.
2. The Operator is not liable for damages arising from use of, or inability to use, the Service suffered by the Merchant or End Users, except in cases of the Operator's willful misconduct or gross negligence.
3. Where the Operator is liable for damages, its liability is capped at the fees the Merchant paid to the Operator in the one month immediately preceding the event giving rise to the claim.
4. Because the Service includes AI-generated content, nothing in these Terms relieves the Merchant of its duty to verify the accuracy and lawfulness of content before deciding to send it.

Article 9 (Termination)

1. The Merchant may stop using the Service at any time by uninstalling it from the Shopify admin.
2. The Operator may stop providing the Service to a Merchant without prior notice if the Operator determines the Merchant has breached these Terms.
3. Data handling upon uninstall (termination of use) is as set out in the Privacy Policy.

Article 10 (Changes to These Terms)

The Operator may amend these Terms when it deems necessary. Material changes will be announced in the app or by notice to Merchants. Continued use of the Service after a change constitutes agreement to the amended Terms.

Article 11 (Governing Law and Jurisdiction)

1. These Terms are governed by the laws of Japan.
2. Any dispute arising in connection with the Service shall be subject to the exclusive jurisdiction of the Japanese court having jurisdiction over the Operator's place of business as the court of first instance.
